On the 8th of June 2026, FEXI successfully completed the settlement of its first follow-on offering of Energy and Infrastructure Investment Trust Certificates (Certificados Bursátiles Fiduciarios de Inversión en Energía e Infraestructura, or “CBFEs”), pursuant to its program authorized by the Mexican National Banking and Securities Commission (Comisión Nacional Bancaria y de Valores, or CNBV). The offering was conducted simultaneously in Mexico and in international markets under Rule 144A and Regulation S of the U.S. Securities Act of 1933.
The offering consisted of a total of 277,344,350 CBFEs (including the exercise of the over-allotment option), at a placement price of MXN $15.50 per CBFE, generating gross proceeds of approximately MXN $4,298,837,425.00. Following the offering, FEXI has a total of 1,443,604,803 outstanding CBFEs (including the exercise of the over-allotment option), which, based on the closing price of the certificates as of the date hereof, represents an aggregate market capitalization of approximately MXN $26,417,967,894.90.
Net proceeds from the offering, after payment of transaction-related expenses, will be used to prepay the financing facility entered with Goldman Sachs on April 13, 2026, which was used to fund the acquisition of the Salamanca–León toll road. The acquisition was completed on April 16, 2026, and since that date the asset has been under the control of FEXI and operation of Operadora Quantum.
With this transaction, FEXI reaffirms its position as the leading toll road investment and consolidation vehicle in Mexico. FEXI controls, maintains a majority ownership interest in, and operates—through Operadora Quantum—a diversified portfolio of six toll roads across seven Mexican states, comprising more than 600 kilometers in operation and serving an average annual daily traffic volume of approximately 55,000 vehicles.
This transaction represents a significant milestone for FEXI and reflects the market’s confidence in the strength of its investment strategy, as well as the quality and performance of the assets within its portfolio. Furthermore, it strengthens the company’s capital structure and reinforces its position as one of Mexico’s leading infrastructure investment platforms, providing a solid foundation for future toll road acquisitions and the continued generation of sustainable value for its investors.
